Terms of Service

These Terms of Service ("Terms") govern access to and use of the FreeSpot website, mobile web application, and related services (together, the "Service"), operated by:

By creating an account, browsing the Service, or making a booking, you ("you", "User") agree to be bound by these Terms. If you do not agree, do not use the Service.
Sections 1–4 and 7–19 apply to everyone. Section 5 applies specifically if you use the Service as a Customer (via freespot.app). Section 6 applies specifically if you use the Service as a Partner (via partner.freespot.app).
1. What FreeSpot is — and is not
1.1. FreeSpot operates an online marketplace that connects independent local businesses ("Partners") offering last-minute availability (a class, a treatment, a table, a session — a "Deal") with individuals looking to book that availability ("Customers").
1.2. FreeSpot is an intermediary, not the service provider. When a Customer books a Deal, a contract for the underlying service (the yoga class, massage, activity, etc.) is formed directly between the Customer and the Partner. FreeSpot is not a party to that contract, does not provide the underlying service, and does not employ, supervise, or control Partners.
1.3. FreeSpot does not guarantee the accuracy, quality, safety, legality, or availability of any Deal or any Partner's premises, staff, equipment, or service. FreeSpot does not vet the professional qualifications, licenses, insurance, or health-and-safety compliance of any Partner beyond the basic business-registration checks described in Section 6.1.
1.4. Except for the payment-processing and booking-facilitation role described in these Terms, FreeSpot has no responsibility for what happens between a Customer and a Partner before, during, or after a booked appointment. Consumer-protection obligations regarding the quality and delivery of the underlying service rest with the Partner, who is a registered business, not FreeSpot.
1.5. FreeSpot is not a bank, payment institution, or electronic money institution. Payments are handled by Stripe under Stripe's own license and regulatory status (Section 5.2). FreeSpot does not itself hold, safeguard, or have custody of Customer funds outside of Stripe's regulated payment flow.
2. Definitions
- "Booking" — a specific reservation of a Deal made by a Customer, from the moment payment is initiated until the booking is completed, cancelled, or expires.
- "Customer" — an individual with an account on freespot.app who browses or books Deals.
- "Deal" — a specific, time-bound offer of availability (with a fixed date and time) listed by a Partner.
- "Partner" — a verified business with an account on partner.freespot.app that lists Deals.
- "Service Fee" — the percentage-based fee described in Section 5.1, charged to Customers.
- "Service" — the FreeSpot website, web application, and related infrastructure, as defined above.
3. Eligibility and accounts
3.1. Minimum age: 16. You must be at least 16 years old to create an account or make a booking. Sixteen is chosen deliberately: it is the age from which Dutch law (implementing Article 8 GDPR) allows a person to consent to their own data processing for online services without a parent or guardian consenting on their behalf.
That said, under Dutch civil law a person under 18 generally still needs permission from a parent or legal guardian to enter into a binding contract (such as a paid booking), unless the transaction is one that is ordinary for someone of that age — which the everyday, modestly priced Deals on FreeSpot are intended to be. To keep this workable in practice rather than relying only on that presumption: if you are 16 or 17 years old, by creating an account and making a booking you confirm that you have your parent's or legal guardian's permission to use the Service and to make that booking, including for the payment method used to pay for it. FreeSpot may ask a parent or guardian to confirm this directly if it has reason to doubt that permission was actually given.
You must in all cases be capable of forming a binding contract under Dutch law. (See open item 1 above — the 16/18 distinction above must match what the product actually enforces before publication.)
3.2. You must provide accurate, current, and complete information when creating an account (including, for Customers, full name, date of birth, and address, and for Partners, business details verified against the KVK register) and keep it up to date.
3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@freespot.app if you suspect unauthorized use.
3.4. One person may not hold both a Customer account and a Partner account tied to the same login; FreeSpot enforces separate accounts for separate roles.
3.5. We may refuse, suspend, or terminate any account at our reasonable discretion, including for breach of these Terms, suspected fraud, or abuse of the Service, with or without prior notice where warranted by the circumstances (e.g. suspected fraud or a safety risk). Section 12 sets out how this works in more detail.
4. Prohibited conduct
You agree not to:
- provide false information when registering an account or a business listing;
- attempt to circumvent the Service to transact with a Partner or Customer off-platform in order to avoid the Service Fee, once introduced through FreeSpot;
- use the Service for any unlawful purpose, or to harass, defraud, or harm another user;
- interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying systems;
- scrape, copy, or republish content from the Service without our prior written consent;
- make bookings you do not intend to honor, or repeatedly fail to show up for confirmed bookings.
We may investigate and take any lawful action in response to violations, including suspending accounts, cancelling bookings, and withholding payouts pending investigation.
5. Customers: bookings, payments, right of withdrawal, and cancellations
5.1. Deal price and Service Fee. Each Deal is listed with a discounted price set by the Partner. At checkout, Customers additionally pay a Service Fee of 9% of the Deal price, charged by FreeSpot for operating the marketplace. The total charged (Deal price + Service Fee) is shown before payment is confirmed. The Partner receives 100% of the Deal's listed price; FreeSpot does not take a commission from the Partner under the current pricing model. This may change for future bookings with reasonable notice.
5.2. Payment processing. Payments are processed by Stripe, Inc. and its affiliates ("Stripe"), a licensed payment institution, via Stripe Connect. By making a booking you also agree to Stripe's own terms of service. FreeSpot does not store your full payment card details.
5.3. Confirmation window. After payment, the Partner has a limited window (currently 10 minutes) to confirm the booking. If the Partner does not confirm within that window, or declines the booking, the booking is automatically cancelled and the Customer is refunded in full, automatically, with no action required from the Customer.
5.4. No statutory 14-day right of withdrawal — and why. Under EU and Dutch consumer law (Article 16(l) of Directive 2011/83/EU; implemented in the Netherlands at Article 6:230p, opening words and under (e), of the Dutch Civil Code), the standard 14-day right of withdrawal for online purchases does not apply to a contract for services related to leisure activities where the contract provides for a specific date or period of performance. Every Deal on FreeSpot is exactly this: a specific, time-bound slot (a class, a treatment, an activity) at a fixed date and time. By booking a Deal, you acknowledge and agree that this statutory exemption applies, and that your right to cancel and be refunded is instead governed entirely by Section 5.5 below, not by the general 14-day online-purchase withdrawal right.
5.5. Cancellation policy — please read carefully. Deals on FreeSpot are last-minute, deeply discounted availability, offered on the basis set out in Section 5.4. Accordingly:
- If the Partner cancels a confirmed booking (or declines a pending request), the Customer receives a full refund of the amount paid, processed back to the original payment method. This is the only circumstance in which a booking is refunded after Partner confirmation.
- If the Customer cancels a booking (whether pending or already confirmed by the Partner), before the booking's scheduled start time, the booking slot is released back onto the Service for other Customers to book, but the amount paid is not refunded.
- Once a booking's scheduled time has passed, it can no longer be cancelled through the Service.
This policy is also shown to Customers before payment is completed and on each booking's own details screen, so it is disclosed clearly before the contract is formed, not buried only in these Terms.
5.6. Customers are responsible for arriving on time and complying with any reasonable rules of the Partner's premises. Disputes about the quality or delivery of the underlying service are between the Customer and the Partner, who remains responsible under ordinary consumer-protection law for the service they sold; FreeSpot may assist in good faith but has no obligation to mediate or compensate beyond the refund scenarios in Section 5.5.
6. Partners: listings, verification, and payouts
6.1. To list Deals, a business must apply and be verified. Verification currently checks, at minimum, a valid Dutch Chamber of Commerce (KVK) registration number and a working business website or social media presence. Verification is a basic anti-fraud check, not a certification of the business's quality, safety, or regulatory compliance. As required by EU marketplace-transparency rules, FreeSpot confirms that every Partner is a registered business (a "trader"), not a private individual — ordinary consumer-protection law therefore applies to the contract between a Customer and a Partner in the usual way.
6.2. Partners represent and warrant that they:
- are validly registered to conduct business in the Netherlands and hold any licenses, permits, qualifications, and insurance (including public/professional liability insurance appropriate to their industry) required by law to provide the listed service;
- will provide accurate, non-misleading listings (price, discount, availability, description, and photos);
- are solely responsible for the safety, legality, quality, and delivery of the service they list, and for compliance with all applicable consumer-protection, health-and-safety, and tax law;
- will honor confirmed bookings, subject to the cancellation terms in Section 5.5;
- will not require or solicit payment from a Customer outside the Service for a booking made through FreeSpot;
- remain responsible for any professional, statutory, or duty-of-care requirement that applies to serving a Customer who is a minor (16 or 17 years old, per Section 3.1), in the same way they would be if that Customer had walked in off the street — FreeSpot's age floor and parental-permission confirmation do not transfer or reduce a Partner's own obligations in this respect.
6.3. Payouts. Confirmed bookings are paid out to the Partner's connected Stripe account per Stripe Connect's standard payout schedule, less any refund described in Section 5.5 (which is deducted from or reverses the corresponding payout, including a proportional reversal of FreeSpot's own Service Fee share where applicable).
6.4. FreeSpot may remove any listing or suspend any Partner account that it reasonably believes is inaccurate, unsafe, fraudulent, or in breach of these Terms, at its discretion.
6.5. Partners are solely responsible for their own tax obligations (including VAT/BTW) arising from amounts received through the Service, and for issuing any invoice or receipt to a Customer that Dutch law requires them to issue as the seller of the underlying service.
7. Fees, taxes, and changes to pricing
7.1. Except as stated in Section 5.1, FreeSpot does not currently charge Partners a commission. We may introduce, change, or remove fees for future bookings with reasonable advance notice published on the Service.
7.2. All amounts are stated in Euros (EUR).
8. Intellectual property
8.1. The Service, including its design, code, logos, and content created by FreeSpot, is owned by FreeSpot or its licensors and protected by intellectual-property law. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
8.2. Partners retain ownership of the content (photos, descriptions, business name/logo) they upload, and grant FreeSpot a non-exclusive, worldwide, royalty-free license to display, reproduce, and use that content to operate and promote the Service and the Partner's listings.
9. Disclaimers
9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY DUTCH LAW, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2. FreeSpot does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any Deal, Partner, or Customer meets your expectations.
9.3. Nothing in this Section 9 excludes or limits any warranty or right that cannot lawfully be excluded or limited under Dutch consumer-protection law.
10. Limitation of liability
10.1. To the maximum extent permitted by Dutch law:
- FreeSpot's total liability to a Customer arising out of or relating to a specific Booking is limited to the total amount that Customer paid for that Booking.
- FreeSpot's total liability to a Partner, in aggregate over any 12-month period, is limited to the total fees FreeSpot actually received in connection with that Partner in that period.
- FreeSpot is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages.
- FreeSpot is not liable for any act, omission, product, or service of a Partner, including but not limited to injury, illness, property damage, or dissatisfaction arising from a service booked through the Service — such claims must be brought against the Partner directly, who remains liable as the seller of the underlying service.
10.2. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Dutch law, including liability for death or personal injury caused by gross negligence or intentional misconduct, or for FreeSpot's own intentional misconduct or gross negligence.
11. Indemnification
You agree to indemnify and hold harmless FreeSpot, its owner, and its personnel from and against any claims, damages, losses, and reasonable expenses (including legal fees) arising out of: (a) your breach of these Terms; (b) your use of the Service; (c) your interaction with another User, including any dispute over a booked service; or (d) your violation of any law or third-party right — except to the extent caused by FreeSpot's own gross negligence or intentional misconduct. This indemnity does not affect any statutory consumer right you have that cannot be waived.
12. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including where we reasonably believe you have breached these Terms, engaged in fraud, or created a risk to other Users or to FreeSpot. You may close your account at any time by contacting support@freespot.app. Sections 1, 2, 8–11, and 14–19 survive termination.
13. Force majeure
FreeSpot is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including outages of third-party providers (Stripe, Supabase, Resend, hosting infrastructure), internet or power failures, or events of force majeure.
14. Complaints and dispute resolution
14.1. If you have a complaint about the Service, contact us first at support@freespot.app, describing the issue in as much detail as possible. We aim to acknowledge complaints within a reasonable time and resolve them fairly.
14.2. If you are an EU consumer and a dispute cannot be resolved directly with us, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
14.3. Complaints about the underlying service delivered by a Partner (rather than about the Service itself) should be raised with that Partner directly, as they remain the seller of that service; FreeSpot will assist in good faith where it can, per Section 5.6.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on the Service with a new "Last updated" date, and for material changes will make reasonable efforts to notify Users (e.g. by email). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms, without prejudice to any mandatory consumer-protection rule requiring a different form of consent to a material change.
16. Assignment
We may assign or transfer these Terms and our rights and obligations under them in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be replaced by an enforceable one that most closely reflects its original intent.
18. Governing law and disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent court in Rotterdam, the Netherlands, without prejudice to any mandatory consumer-protection rule that entitles you, as a consumer, to bring proceedings in the courts of your own country of residence within the EU instead.
